Terms of Service

    1. Who this agreement is between

    This agreement is between JD Equity Partners LLC, a Michigan limited liability company ("we," "us," or "JDEP"), and the person or business purchasing our services ("you" or "Client"). By checking the terms box at checkout, creating an account, or using our services, you agree to these terms.

    2. What we do (scope of work)

    Here's what each service actually includes. Anything not listed is out of scope and would be a separate quote.

    SEO (Basic, Standard, Premium)

    Monthly on-page and off-page SEO work per location: keyword targeting, metadata and content updates, technical fixes, Google Business Profile optimization, monthly reporting. Tier determines depth (number of keywords, content pieces, and hours per month). Rankings depend on Google and are never guaranteed.

    Backlink Building

    Monthly outreach and placement of contextual backlinks from real websites relevant to your industry. We do not use PBNs, link farms, or spam tactics. Volume and DR range are described on the service card.

    Google Ads Management

    Monthly management of your Google Ads account: campaign build, keyword and audience targeting, ad copy, bid management, and reporting. Management fee only. Ad spend is billed directly by Google on your own card — we recommend at least $500/mo in ad budget for most campaigns.

    Photography & One-Time Deliverables

    On-site photography, flyers, and other one-time creative deliverables are billed once at checkout. Scope, revisions, and turnaround are described on each service card.

    Client Portal, Reports & Support

    Every active client gets access to the Client Portal for reporting, requests, documents, and support tickets. Portal access ends when your last active subscription ends.

    3. Monthly billing (Stripe)

    All payments are processed by Stripe. We never see or store your full card number.

    • Monthly services renew automatically every 30 days from the date you first purchased them.
    • One-time services are charged in full at checkout.
    • Prices shown at checkout are what you pay — no hidden fees. Applicable taxes are added by Stripe.
    • Google Ads spend is billed separately by Google on your own payment method, not by us.

    4. Cancellation

    You can cancel any monthly subscription at any time, right from your billing page in the Client Portal (or by emailing us). Cancellations take effect at the end of the current billing period — you keep access and delivery through that date, and you will not be charged again after that.

    One-time services can be cancelled before we start the work. Once work has begun, they can't be cancelled (see refunds below).

    5. Refunds

    • Monthly subscriptions are non-refundable for partial months. If you cancel mid-cycle, you keep the service until the end of the period you already paid for; we do not prorate refunds.
    • One-time services are refundable only if you request the refund before we start the work. Once production has begun, the fee is earned and non-refundable.
    • If we fail to deliver the agreed scope, email us within 14 days of the missed deliverable and we'll make it right, credit you, or issue a partial refund at our reasonable discretion.
    • Google Ads spend is paid to Google and is not refundable by us.

    6. Pausing service for non-payment

    If a scheduled payment fails, Stripe will automatically retry over several days. If payment isn't restored within 7 days, we may pause the affected service (stop delivery, reporting, and portal write access for that service) until the balance is cleared. If the account is unpaid for 30 days, we may terminate the subscription. Pausing service does not create a refund for the paid period.

    7. Your responsibilities

    To deliver good work we need you to give us accurate business info, timely approvals, and least-privilege access to the accounts we're working in (Google Business Profile, Google Ads, your website, etc.). Delays caused by missing inputs or slow approvals aren't our fault and don't extend the billing period.

    8. Results & third parties

    We do our work with professional care, but we don't guarantee specific rankings, lead volume, revenue, ROI, or any decision made by third-party platforms like Google or Meta. Those platforms can change their rules, pricing, or algorithms at any time, and that's outside our control.

    9. Limitation of liability

    To the maximum extent allowed by law, our total liability for any claim arising out of the services is limited to the amount you paid us in the 3 months before the claim. We are not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if we knew such damages were possible. Nothing here limits liability that can't legally be limited (like fraud or willful misconduct).

    10. Confidentiality & data

    We treat your business information as confidential and only use it to deliver the services. How we handle personal data is described in our Privacy Policy. We do not sell your data.

    11. Ownership

    Once a one-time deliverable is paid in full, you own the final delivered assets (photos, flyers, written content). We keep ownership of our internal tools, templates, playbooks, and the Client Portal software itself. We may use anonymized performance data to improve our services.

    12. Acceptable use

    Don't use our services to do anything illegal, to send spam, to attack our systems, or to try to access other clients' data. We can suspend or terminate accounts that violate this without a refund.

    13. Governing law

    This agreement is governed by the laws of the State of Michigan, without regard to conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Oakland County, Michigan, and both sides consent to jurisdiction there.

    14. Changes to these terms

    We may update these terms. If we make material changes, we'll update the "Last updated" date and re-present the terms in the portal for you to re-accept. Continuing to use the services after that counts as acceptance.
